2Scope of these terms
What follows applies to berlinlocalelab.store, to free market audits and to every course booked with the studio. The way we work is set out on the about page.
3Clients we accept
Our clients are businesses, never consumers, and each must offer products or services that are lawful in Germany. Escort and sexual-services businesses are not accepted. Each client stays responsible for its own compliance, including age verification under the JMStV, its Impressum, consumer law and data protection.
4Work we decline
The studio does not design or recommend anything that weakens age verification or exposes material meant for a closed user group, shows search engines content visitors cannot see, relies on misleading claims under the UWG, or publishes invented or purchased reviews.
5Scope of each course
The tasks in each course are shown under pricing and restated in your quote. Legal advice, development work, advertising budgets and content beyond the agreed pages are not included unless agreed in writing.
6No promised rankings
Search engines rank by their own criteria, which change without warning. We commit to careful, documented work and a written monthly report, not to particular positions, traffic or sales.
7Fees and VAT
- Invoiced monthly in euros at the quoted course fee.
- Rolling: ended by either side with thirty days' notice in text form.
- Fixed term: three, six or twelve months at the lower fee, each month of the term payable.
- VAT is added where EU rules require; invoices are due fourteen days after issue.
8Confidentiality and use of work
What you share about your business stays confidential. Deliverables pass to you once paid for; our methods and templates stay ours. The privacy notice covers any personal data.
9Liability
Where statute forbids limiting liability, no limit applies. In every other case the combined ceiling equals three months of fees received before the claim arose, and lost profit, like decisions taken by search engines, platforms or authorities, falls outside it.
10Termination
After a fixed term, either party may end the engagement with thirty days' notice in text form. We may end it with immediate effect if the conditions under "Clients we accept" or "Work we decline" are breached, and either party may do so if a serious breach remains unresolved two weeks after it was raised.
11Governing law
These terms are subject to Indian law, with disputes decided by Indian courts, unless a quote signed by both sides agrees otherwise and to the extent mandatory rules do not require something else.
